Fundraising
Warrant
Quick definition
A right to buy shares at a set price for a set period, often attached to venture debt or given as a sweetener.
A warrant is a contract giving the holder the right to purchase a set number of shares at a fixed strike price before an expiration date, similar to an option but usually issued to investors or lenders rather than employees. Warrants most often appear with venture debt, where the lender takes warrant coverage (warrants worth a percentage of the loan) as extra upside, and occasionally as a sweetener in financings or partnerships. Warrants are dilutive and count toward fully diluted shares, so model their conversion when you assess ownership and the true cost of debt.
